An increasing number of companies are subject to the application of the so-called 'Golden Power', with the consequent government intervention in an increasingly significant number of M&A operations and market transactions. The Italian regulation on Golden Power was initially applied to companies operating in 'traditional' strategic sectors, and then expanded to 'sectors with high technological intensity' and with 5G technology, and finally extended to all sectors indicated in EU Regulation no . 2019/452. In the US there are particular restrictions on investments in strategic companies for the national economy, carefully examined by the Committee on Foreign Investment in the United States (CFIUS). Hence the need to carefully evaluate the opportunities of this trend, both from a regulatory and geopolitical perspective, taking into account the interest of companies in attracting new capital to finance their growth.
